I hereby grant Fire Station Threads LLC (FST) permission to use the logo attached hereto as Exhibit A (the Logo) in conjunction with the Fire Station Threads e-commerce platform (FST Platform). Company grants FST an exclusive, non-revocable, unlimited, worldwide right in all media, in perpetuity, to use, display, distribute and exhibit the Logo, or any part thereof, solely in connection with the FST platform. Any other use of the Logo not expressly indicated in this PTU is prohibited. Company represents and warrants that it owns all right, title and interest in and to the LOGO and that no other permissions are required for use. Company agrees to indemnify, defend, and hold harmless FST from and against any claim, suits, actions, loss, damages, liabilities, costs and expenses (including attorneys fees) arising out of or related to FST representations and warranties herein. FST agrees to reasonably comply with any LOGO guidelines requested in writing by Company. This PTU represents the entire understanding between Company and FST. This PTU does not create a partnership, joint venture, franchise, agency or employment between Company and FST. This PTU is not an endorsement or sponsorship by FST of the Logo or Company. Changes to this PTU are void and of no effect without FST prior written consent. This PTU is governed by the laws of the State of California (without regard to the conflicts of law provisions therein) in the state and federal courts residing in Los Angeles, California.
